The Overlooked Counterparty
Vendors hold access, data, premises and payment relationships. They act in the organisation's name and, in regulated sectors, their conduct is attributed to it. Yet onboarding is frequently a documentary exercise conducted under commercial time pressure.
What Diligence Establishes
A proportionate vendor review answers a small number of consequential questions.
- Who ultimately owns and controls the entity
- Whether any owner or officer is connected to an employee approving the engagement
- Whether the entity has genuine operating capacity for the contracted scope
- Financial standing, encumbrances and litigation exposure
- Regulatory, licensing and statutory compliance status
- Prior performance and conduct with comparable clients
Related-Party Exposure
The most costly vendor findings are seldom about the vendor alone. They concern the relationship between the vendor and the person inside the organisation who selected, approved or protected it. Ownership research is what makes that visible.
Proportionality
Not every supplier warrants a full review. Value, access and criticality should set the tier. A cleaning contract and a data-processing partner do not present the same exposure, and diligence resources should reflect that.
