Beyond the Declaration Form
An annual declaration captures what a director remembers and chooses to record. Mapping captures what the record shows, including interests held through relatives and associated entities.
What Mapping Covers
A proportionate exercise addresses four relationships.
- Directorships and shareholdings of the officer and immediate family
- Common officers between the company and its vendors or customers
- Prior professional relationships with counterparties under consideration
- Advisory or consulting arrangements not disclosed to the board
Cadence
Map before appointment, before a material related-party transaction, and annually thereafter. Between those points, disclosure alone is a reasonable standard.
